Terms of Service

Effective Date: October 28, 2025

  1. Introduction

Welcome to ChabeLand, a new-generation digital factory and B2B manufacturing platform that connects customers and suppliers through digital production tools.
By accessing or using the ChabeLand platform (“Platform,” “we,” “us,” “our”), you agree to these Terms of Service (“Terms”).
These Terms apply to all users — whether you register as a Customer or Supplier — and govern your access to and use of the Platform and related services.

ChabeLand is not currently registered under any single national jurisdiction. In the event of commercial success and monetisation, the Platform may be incorporated as a company in a chosen country. Until that time, these Terms are governed by applicable international commercial law.

If you do not agree to these Terms, you must not register or use the Platform.

  1. Definitions

Customer: A user who uploads files or drawings to request quotations or production services.

Supplier: A user who registers via the Supplier Panel to view Customer requests and submit offers.

Job / Request: A set of drawings, design files or specifications uploaded by a Customer.

Offer: A quotation submitted by a Supplier in response to a Customer’s Job.

Order: A binding purchase contract created when the Customer accepts a Supplier’s Offer.

Tracking Code: The unique code sent by e-mail to the Customer upon upload, enabling tracking of Job status.

Platform Fee / Management Fee: Any fee or commission charged by ChabeLand as part of order processing, including restocking and platform management charges described below.

  1. Platform Structure and Registration

ChabeLand operates as an operator-to-operator (O2O) and business-to-business (B2B) digital marketplace.

The Platform provides separate registration and login panels for Customers and Suppliers.

Customers may register before or after uploading files. To view and track uploaded Jobs, registration is required, and the same e-mail address used for upload must be used for account creation.

Suppliers may register through the Supplier Panel to access visible Customer Jobs and submit Offers.

When a Customer accepts a Supplier’s Offer, an Order is formed directly between the two parties.

ChabeLand acts solely as an intermediary facilitating communication, not as a manufacturer, seller, or buyer.

  1. Customer Process and Responsibilities

Request Submission and Tracking
Customers may upload design files or drawings to initiate a Request for Quotation (RFQ). Upon submission, a unique Tracking Code will be sent by e-mail.

Registration and Account Management
Customers must register to track and manage requests. Registered Customers can also upload directly through their Customer Panel.

Order Formation
When a Customer accepts a Supplier’s Offer, a binding Order is formed between Customer and Supplier, governed by these Terms and any mutually agreed specifications.

  1. Supplier Process and Responsibilities

Quotation and Offer Submission
Suppliers may review visible Jobs and submit Offers through the Supplier Panel.

Production and Delivery
Upon acceptance, Suppliers are solely responsible for manufacturing according to approved specifications and drawings and for ensuring timely, safe delivery.

Compliance
Suppliers agree to comply with applicable industrial, quality, and safety standards and maintain confidentiality regarding Customer files.

  1. Returns and Refunds

Due to the custom-made and prototype nature of most products offered through ChabeLand, returns and refunds are handled as follows:

(a) Defective or Non-Compliant Products

If the delivered product is damaged, defective, or not in conformity with the approved drawings or specifications, the Customer may return it within one (1) month from the date of delivery and receive a full refund of the product price.

(b) Non-Faulty Returns (Customer Change of Mind)

If the product is complete, non-defective, and conforms to specifications, but the Customer wishes to return it, the return must be initiated within one (1) month of delivery.
A 10 % restocking fee will apply. Of this fee, 1 % of the total product value will be retained by ChabeLand as a Platform Management Fee; the remainder will be refunded to the Customer.

(c) Return Costs

Unless the product is defective or non-compliant, the Customer is responsible for return shipping costs.

(d) Legal Rights

These terms do not limit any mandatory rights under applicable consumer-protection laws.

  1. Country Restrictions

ChabeLand will not process sales or returns in jurisdictions where consumer law mandates an unconditional “right of withdrawal” or “cooling-off” period longer than one (1) month for custom-made or prototype goods.
Customers in such jurisdictions acknowledge that no statutory withdrawal right applies to non-faulty, custom-made products.
(For example, EU and UK laws already exempt goods produced to consumer specifications from the 14-day withdrawal rule.)

  1. Intellectual Property and Confidentiality

Customers retain ownership of all uploaded files, designs, and drawings.

By uploading content, Customers grant Suppliers (via the Platform) a limited, non-exclusive licence to use those materials solely for manufacturing the accepted Order.

Suppliers agree not to use, copy, distribute, or disclose any Customer data or designs beyond the fulfilment of that Order.

ChabeLand retains all rights to the Platform software, user interface, and related content.

  1. Limitation of Liability

ChabeLand acts only as an intermediary connecting Customers and Suppliers and is not a party to any manufacturing contract.

We make no warranties regarding the performance, quality, or delivery of goods produced by Suppliers.

To the maximum extent permitted by law, ChabeLand’s total liability for any claim shall not exceed the total fees (if any) paid by you to ChabeLand in the twelve (12) months preceding the claim.

ChabeLand shall not be liable for indirect, incidental, special, or consequential damages, including loss of profit or data.

  1. Governing Law and Dispute Resolution

Upon incorporation, these Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ChabeLand is registered.

Until then, disputes shall be governed by international commercial principles and submitted first to mediation, and if unresolved, to arbitration under the rules of a recognised international arbitral body.

Parties waive any right to participate in class or collective actions.

  1. Amendments and Notices

We may modify or update these Terms at any time.
Registered users will be notified via the Platform or by e-mail.
Continued use of the Platform after notice of changes constitutes acceptance of the revised Terms.

  1. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  1. Entire Agreement

These Terms, together with the Privacy Policy and any other referenced documents, constitute the entire agreement between you and ChabeLand regarding Platform use and supersede any prior agreements or understandings.
